Terms of Service

1. Who we are

Voasis (voasis.io and app.voasis.io, the "Service") is operated by MYTALEO LLC, a limited liability company formed under the laws of the State of Wyoming, United States, with its principal address at 1309 Coffeen Avenue STE 1200, Sheridan, Wyoming 82801, USA ("Voasis", "we", "us").

You can reach us at any time at hello@voasis.io. These Terms of Service (the "Terms") are a binding agreement between you and MYTALEO LLC.

2. Acceptance and eligibility

By creating an account, joining the waitlist, or otherwise using the Service, you accept these Terms. If you use the Service on behalf of a company or other legal entity, you represent that you are authorized to bind that entity, and "you" refers to that entity.

You must be at least 18 years old to use the Service. The Service is intended for business and professional use in creating marketing content.

Parts of the Service are in active development. Features described on our website may change, and some capabilities may be released gradually or in early access.

3. The Service

Voasis is a software-as-a-service platform for generating AI marketing content, including UGC-style videos with AI creators, static ad images and product visuals, brand research profiles, and related creative tooling.

Access is provided through paid subscription plans and a limited free tier. Each plan includes a monthly allowance of credits that are consumed when you generate content. The current plans, prices and credit allowances are shown on our pricing page and inside the app at the moment of purchase.

4. Accounts and security

You are responsible for your account, for maintaining the confidentiality of your login (including magic links sent to your email and any connected Google account), and for all activity that occurs under it. Notify us promptly at hello@voasis.io if you suspect unauthorized use.

You agree to provide accurate account information and to keep it up to date.

5. Workspaces and team members

Every account is a workspace. Workspace owners can invite team members by email. Team members act inside the owner's workspace: content they create belongs to that workspace and consumes that workspace's credits.

The workspace owner is responsible for the actions of invited members within the workspace and remains the only person who can manage the workspace's billing. Owners can remove members, and members can leave a workspace, at any time.

6. Plans, billing and credits

Payments are processed by Stripe. We do not store your full card details; Stripe processes them under its own terms and privacy policy.

Subscriptions renew automatically each billing period (monthly, or yearly where offered) until cancelled. At each renewal your payment method is charged and your credit balance is reset to your plan's allowance. Credits are consumed per generation, with the cost of each generation shown in the app before you run it.

Unused credits do not roll over to the next billing period and have no cash value. Credits cannot be exchanged, transferred or redeemed for money.

Upgrades take effect immediately: you are charged a prorated difference and receive the new plan's credit allowance right away. Downgrades take effect at the end of the current billing period. Cancelling leaves your plan active until the end of the period you have paid for, after which the account moves to the free tier.

Founding-member pricing offered before or at launch is locked for as long as your subscription remains active. We may change list prices for new subscriptions at any time; price changes for existing subscribers will be notified at least 30 days in advance and take effect at a subsequent renewal.

Prices are shown exclusive of any applicable taxes unless stated otherwise. You are responsible for any sales tax, VAT or similar charges that apply to your purchase.

7. Cancellations and refunds

You can cancel your subscription at any time from the app (Settings, Plan and billing) or by emailing hello@voasis.io. Cancellation stops future renewals; the current period remains active until it ends and is not refunded on a prorated basis.

Because the Service delivers digital content and consumes third-party AI compute from the moment you generate, payments are generally non-refundable once a billing period has started. We review refund requests case by case for situations such as duplicate charges, billing errors, or a Service failure that prevented you from using what you paid for. Contact hello@voasis.io within 14 days of the charge.

Nothing in these Terms limits any non-waivable statutory refund or cancellation rights you may have under the laws of your country of residence.

8. Your content and generated output

You retain ownership of the material you upload or provide to the Service, such as product photos, logos, brand information, scripts and prompts ("Input"). You grant us a limited, worldwide, non-exclusive license to host, process and transmit your Input solely to operate and provide the Service, including sending it to the AI model providers that perform generation.

Subject to these Terms and to payment of the applicable fees, we assign to you the rights we hold in the videos and images generated for you by the Service ("Output"), including full commercial usage rights for advertising and marketing. You are responsible for reviewing Output before publishing it.

Because Output is produced by generative AI, we cannot guarantee that it is unique or that similar output will not be generated for other customers from similar inputs. You are responsible for ensuring that your Input does not infringe third-party rights, and that your use of Output complies with the laws and advertising rules that apply to you, including the policies of the platforms where you publish (such as Meta and TikTok) and any applicable requirements to disclose AI-generated or synthetic content.

9. AI creators, likeness and impersonation

The AI creators available in the Service are synthetic personas. You may not use the Service to clone, imitate or generate the image, voice or likeness of any real, identifiable person without that person's documented consent, and you may not use Output to create deepfakes, defamatory content, or content that misrepresents a real person or organization.

You may not use Output, or any AI creator's image or voice, as training data or input for other AI systems, or to build a competing product or synthetic-persona library.

10. Acceptable use

You agree not to use the Service to create or distribute content that is unlawful, misleading or deceptive (including false advertising claims and fake testimonials presented as real endorsements), hateful, harassing, sexually explicit, or that promotes violence, self-harm or illegal activity; content that infringes intellectual-property, privacy or publicity rights; or content designed to deceive people about health, finances or elections.

You also agree not to interfere with the Service: no attempts to breach security, probe or overload our infrastructure, scrape the Service at scale, reverse engineer the platform, share accounts to circumvent plan limits, resell access without our written agreement, or use the Service to develop a competing service.

We may suspend or terminate accounts that violate this section, and we may remove content that we reasonably believe breaks these rules or exposes us or third parties to harm or liability.

11. Third-party services

The Service is built on third-party infrastructure and AI providers, including payment processing by Stripe, hosting and storage by Vercel, Supabase and Cloudflare, generation models operated by providers such as Google and OpenAI (accessed through OpenRouter), and email delivery by Resend. Their availability affects the Service, and their processing of data is described in our Privacy Policy.

Publishing platforms (such as Meta, TikTok, YouTube and Google Ads) are independent from Voasis. Compliance of your campaigns with their policies is your responsibility.

12. Intellectual property and feedback

The Service itself, including the Voasis name and logo, software, design, AI creator library, templates and website content, belongs to MYTALEO LLC or its licensors. These Terms do not grant you any rights in the Service other than the right to use it as described.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.

If you believe content on the Service infringes your rights, notify us at hello@voasis.io with enough detail to identify the content, and we will review it promptly.

13. Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

Generative AI can produce output that is inaccurate, unexpected or of variable quality. Output is a creative draft: you must review it, verify any factual or advertising claims, and decide whether it is suitable before using it publicly. We make no guarantee about the commercial performance of any content generated with the Service.

14. Limitation of liability

To the maximum extent permitted by law, MYTALEO LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or related to the Service.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service is limited to the amounts you paid us in the twelve months preceding the event giving rise to the claim, or one hundred US dollars if you have paid nothing.

Some jurisdictions do not allow certain limitations of liability; in those jurisdictions the above applies only to the extent permitted.

15. Indemnification

You agree to defend and hold harmless MYTALEO LLC and its officers, employees and agents from claims, damages and reasonable legal costs arising from your Input, your use of Output, your violation of these Terms, or your infringement of any third-party right.

16. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service (in which case we will give reasonable notice where practicable).

Upon termination your right to use the Service ends and remaining credits are forfeited. Sections that by their nature should survive (including content licenses already granted, disclaimers, limitation of liability and indemnification) survive termination.

17. Changes to these Terms

We may update these Terms as the Service evolves. The date above reflects the latest version. For material changes we will give notice through the app or by email before they take effect. Continuing to use the Service after changes take effect constitutes acceptance of the updated Terms.

18. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Wyoming, and both parties consent to their jurisdiction, except that either party may seek injunctive relief in any competent court. If you are a consumer in a jurisdiction whose law grants you mandatory protections or venue rights, those rights are not affected.
